This web site provides ground freight load-matching information for shippers of freight and carriers of freight in an open Internet marketplace throughout North America. Please read this Terms of Use (hereinafter "Agreement") before signing up as a member (hereinafter "USER") in order to access and use this web site. This Agreement between ExpediteLoads.Com and the USER is effective upon creating a membership account. USER, acknowledges and agrees to the following terms and conditions: BY ACCESSING OR USING ANY PART OF THIS SITE, YOU UNDERSTAND AND EXPRESSLY AGREE TO AND CONSENT TO BE BOUND BY ALL OF THE TERMS OF USAGE EXACTLY AS IF IT WERE PRINTED ON PAPER AND SIGNED BY YOU. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF USAGE, YOU DO NOT HAVE EXPEDITELOADS.COMS PERMISSION TO ACCESS OR USE ANY PART OF THIS SITE. ANY SUCH UNAUTHORIZED USE IS STRICTLY PROHIBITED. SERVICES PROVIDED USER Carrier is entitled to post and search for available loads and trucks and use any other freely offered services integrated within our web site. User Shipper is entitled to post freight and search for available trucks and use any other freely offered services integrated within our web site. NO BACK-SOLICITATION As USER Shippers or Carriers of ExpediteLoads.com, you agree that you will NOT engage directly or indirectly in back-solicitation as a result of any expedite or General Freight/LTL load board activity. Should ExpediteLoads.com determine that a Shipper or Carrier has engaged in back-solicitation, ExpediteLoads.com reserves the right to immediately cancel that Shipper or Carrier's membership WITHOUT refund (if a refund applies). Please treat others, as you would want to be treated. CANCELLATION ExpediteLoads.Com is a fee based membership web site. Membership renewal fees are automatically billed to USER'S Credit Card. All member fees are payable in advance. USERS, at their discretion, may cancel their membership at any time without cause. (See below for instructions on how to cancel membership.) If USER wants to cancel their membership, USER must log into their Personal Control Panel and select Manage My Account and locate where to automatically cancel USER'S membership account. After USER completes this, USER will not be billed again and their account will automatically close after their current billing cycle is finished. We do NOT accept cancellations over the telephone. No refunds will be given for any cancellations. ExpediteLoads.Com may terminate any member account for: USER's use of ExpediteLoads.com for any unlawful purpose or in an unlawful manner; USER's failure to comply with all local, state and federal laws and regulations applicable to the operation of USER's business; USER's intentional input of false information into ExpediteLoads.com or the USER's repeated input of inaccurate information into ExpediteLoads.com; USER'S failure to fulfill financial or other obligations to other USER's of ExpediteLoads.com; The receipt by ExpediteLoads.com of a complaint(s) against USER. DISCLAIMER OF LIABILITY AND INDEMNIFICATION USER agrees and understands the relationship of ExpediteLoads.com to the USER is that of an information resource publisher only. USER's relationship between any shipper, or carrier, is separate from and independent of the USER's agreement with ExpediteLoads.com. USER understands ExpediteLoads.com does not intend or seek in any manner to participate in any relationship between the USER and any carrier, broker, independent owner/operator or shipper that arises out of the USER's use of ExpediteLoads.com, unless otherwise expressed in a signed written agreement between USER and ExpediteLoads.com. Furthermore, ExpediteLoads.com does not warrant or guarantee or have control over the availability of expedited, LTL, or general freight for any particular day or location, nor does it warrant or guarantee or have control over what the rates or payment terms for any expedited, LTL, or general freight will be. Accordingly, USER agrees that ExpediteLoads.com is not and will not be responsible or liable for, and USER agrees to hold harmless and indemnify ExpediteLoads.com from and against any losses, claims, liabilities or expenses of any nature whatsoever incurred by USER, USER's company, or any shipper, broker or carrier or shipper's, broker's or carrier's employees, agents or customers where such losses, claims liabilities or expenses pertain to a relationship between USERs and any shipper, broker or carrier arising out of the USER's use of ExpediteLoads.com. Such claims in this paragraph include, without limitation, claims for damages caused by input of accurate, inaccurate or false information into ExpediteLoads.com. USER also understands and agrees that ExpediteLoads.com does not offer any representations or warranties, expressed or implied, including, without limitation, any representations or warranties as to (1) the willingness of any shipper, carrier or broker to use the USERs of ExpediteLoads.com; (2) the accuracy of information or data entered into the ExpediteLoads.com database; (3) the quality of the transportation provided by any carrier listed with ExpediteLoads.com; (4) the compliance of any carrier with local, state or federal laws governing the carrier's business. (5) The availability of loads or trucks. LIMITATION OF REMEDIES IN NO EVENT, UNDER NO CIRCUMSTANCES (INCLUDING, BUT NOT LIMITED TO, THE MALFUNCTION OF ExpediteLoads.COM OR OF THE HOST'S WEB SERVER OR ANY OTHER EQUIPMENT), SHALL ExpediteLoads.com BE LIABLE TO USER FOR LOST PROFITS, INCIDENTAL OR CONSEQUENTIAL DAMAGES. RESERVATION OF RIGHTS ExpediteLoads.com reserves the right to modify, in any manner at any time, the covered services. USER understands and agrees that it has no claims, causes of action or rights against ExpediteLoads.com for modifications of the covered services. ExpediteLoads.com reserves the right at any time to discontinue the covered services. USER understands and agrees that it has no claims, causes of action or rights against ExpediteLoads.com for discontinuance of the covered services. ONLINE CONTENT USER understands and agrees that ExpediteLoads.com reserves the right, but has no obligation, to delete, review, and/or edit any information, data, text, software, photographs, images, graphics, messages or other material ("Content") by our sole discretion. USER may not modify, copy, distribute, broadcast, transmit, reproduce, publish, mirror, frame, license, transfer, sell, or otherwise use any information or material obtained from you or through this web site unless ExpediteLoads.com makes it clear that you can do so. CONSTRUCTION This Agreement shall be governed by the laws of the Commonwealth of Kentucky and shall constitute the entire agreement between ExpediteLoads.com and USER with respect to the covered services, superseding all prior agreements and understandings relating to the subject matter thereof. ASSIGNMENT This Agreement is not assignable, in whole or in part, by USER without prior written approval of ExpediteLoads.com. WAIVER No waiver by either party of any breach of terms contained in this Agreement by the other party shall be construed as a waiver of any succeeding breach of the same or any other term or condition. PRIVACY POLICY It is our policy that personal information, such as your name, postal and e-mail address or telephone number, is private and confidential. Accordingly, the personal information USER provides is stored in a secure location is accessible only by designated staff and is used only for the purposes for which you provide the information. For example, when USER posts an available load, or truck, on ExpediteLoads.com, the contact information specified in creating your account is accessible on ExpediteLoads.com system by other users. NO RELEASE OF INFORMATION TO THIRD PARTIES Personal information will not be released to third parties except to further the purpose for which you provide the information, unless the release is required by law or is pertinent to judicial or governmental investigations or proceedings. There are no other circumstances under which we will provide or sell personal information to third parties. USER NAME AND PASSWORD USER is required to choose a username and password as part of the registration process. You agree not to sell, transfer, or assign your use of or access to this web site to any third party. USER is solely responsible for maintaining the confidentiality of your username and password. Furthermore, USER is solely responsible for any and all activities that are conducted through your account. USER agrees to notify ExpediteLoads.com immediately of any unauthorized use of your account or any other breach of security.
